Pivt Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and MovingParts Inc. doing business as Pivt ("Pivt," "we," "us," or "our") governing your access to and use of the Pivt mobile application, websites, web application, and related services (collectively, the "Services"). Please read them carefully.

 

1. Acceptance of Terms

By creating an account, clicking or selecting an acceptance mechanism, or otherwise accessing or using the Services, you agree to these Terms and to Pivt's Privacy Policy. If you do not agree, do not access or use the Services.

2. Eligibility

You must be at least 18 years old to create or use a Pivt account. The Services are not intended for persons under 18. By using the Services, you represent that you meet this eligibility requirement.

3. Relationship With Your Employer or Sponsor

Access may be sponsored and paid for by your employer, a relocation management company, or another organization (each, a "Sponsor"). Your Sponsor may authorize, limit, or deactivate your access. These Terms govern your individual use regardless of who pays for or sponsors your access.

4. Your Account

You agree to provide accurate registration information, keep it current, protect your credentials, and promptly notify Pivt at support@pivtapp.com of suspected unauthorized use. You are responsible for activity conducted through your account to the extent permitted by law.

5. License to Use the Services

Subject to these Terms, Pivt grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial relocation, community, and related purposes while your account or sponsored access remains active. All rights not expressly granted are reserved by Pivt.

6. Acceptable Use

You will not, and will not permit others to:

• Post, upload, send, or transmit content that is unlawful, infringing, harassing, hateful, defamatory, threatening, obscene, fraudulent, aggressively abusive, or otherwise harmful.

• Impersonate another person or misrepresent your identity or affiliation.

• Send spam, unauthorized solicitations, or abusive communications.

• Scrape, harvest, or access data or the Services through unauthorized automated means.

• Reverse engineer, decompile, bypass, or interfere with security, access controls, or technical restrictions except where applicable law expressly permits such activity.

• Use the Services to build, train, benchmark, or support a competing product without Pivt's written permission.

• Upload malware or interfere with the availability, integrity, or security of the Services.

• Use the Services in a way that violates another person's rights or applicable law, or disclose another person's personal information, or an organization's trade secrets or confidential business documents, when you are not authorized to disclose them.​

7. User Content

"User Content" means content you submit through the Services, including private messages, community posts or city group chats, photos, profile content, and other materials. Pivt does not currently support user-uploaded video. You retain ownership of your User Content. You grant Pivt a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, and distribute User Content as reasonably necessary to operate, secure, provide, moderate, and improve the Services.

You represent that you have the rights necessary to submit your User Content and that your User Content does not violate these Terms, applicable law, or the rights of another person. Content posted to community or shared areas may be visible to other authorized users.

8. Content Moderation; Copyright and DMCA

Pivt may use automated tools and a limited number of authorized staff to review community content for moderation, safety, security, and enforcement of community rules. Pivt may hide, restrict, remove, or disable access to User Content or accounts that Pivt reasonably believes violate these Terms, applicable law, community rules, or the rights or safety of others. Pivt's moderation practices may include identifying aggressively abusive content and content that appears to disclose another person's personal information or an organization's trade secrets or confidential business documents. Nothing in these Terms is intended to restrict rights protected by applicable law.

Copyright notices. Copyright infringement notices may be sent to Pivt's designated DMCA agent using the contact information below. Pivt may remove or disable access to allegedly infringing material and may terminate accounts of repeat infringers consistent with applicable law and Pivt's repeat-infringer process.

9. Community Interactions and Safety

The Services may help you connect with other users, communities, mentors, local contacts, or resources, including introductions that may lead to in-person interactions. Unless Pivt expressly states otherwise, Pivt does not guarantee or independently verify the identity, background, conduct, qualifications, or statements of other users. Use appropriate judgment and safety precautions when interacting with others.

10. Sensitive Information

Pivt does not require or intentionally solicit highly sensitive personal information as standard profile information. Do not submit Social Security numbers, financial account information, government identifiers, health records, or other highly sensitive information through free-form User Content unless a Pivt feature expressly requests it and the applicable privacy notice permits it.

 

11. Privacy and Messaging

Your use of the Services is subject to the Pivt Privacy Policy. If you opt in to Pivt text messages (SMS), the following Messaging Terms apply.

Program. When you opt in, Pivt will send a message to confirm your signup. By opting in, you agree to receive recurring automated informational and marketing text messages from Pivt at the mobile number you provided. Consent to receive marketing messages is not a condition of any purchase or of using the Services.

Frequency and rates. Message frequency varies. Message and data rates may apply. Contact your mobile provider with questions about your text or data plan.

Carriers. Mobile carriers are not liable for delayed or undelivered messages.

Opt out. Reply STOP at any time to stop receiving messages, or use the unsubscribe link included in a message. Pivt will send one message confirming that you have been unsubscribed. To receive messages again, opt in as you did the first time.

Help. Reply HELP to 201-523-4069, or email support@pivtapp.com, for assistance.

Change of number. Before changing or transferring your mobile number, reply STOP from the original number or tell us your old number at support@pivtapp.com.

Changes. Pivt may change or end its messaging program, or update these Messaging Terms, at any time. If you do not agree to an update, reply STOP to cancel your enrollment.

Privacy. Information collected through the messaging program is handled under the Pivt Privacy Policy. Pivt does not share mobile phone numbers or text messaging opt-in data and consent with third parties or affiliates for their marketing or promotional purposes.

 

12. Intellectual Property and Feedback

The Services, including Pivt's software, branding, design, documentation, and other proprietary materials, are owned by Pivt or its licensors and are protected by intellectual-property laws. If you provide suggestions or feedback, you grant Pivt a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or attribution.

 

13. Third-Party Services

The Services may link to or integrate third-party websites, services, content, or resources that Pivt does not control. Third-party services are subject to their own terms and privacy practices.

 

14. Suspension and Termination

Pivt may suspend or terminate access if you violate these Terms, if directed by a Sponsor with authority over your access, if your sponsored access ends, or when reasonably necessary to protect the Services, Pivt, users, or others. You may stop using the Services at any time. Provisions that by their nature should survive termination will continue to apply.

 

15. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PIVT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT USER OR THIRD-PARTY CONTENT WILL BE ACCURATE OR RELIABLE.

 

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIVT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, BUSINESS, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIVT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID DIRECTLY TO PIVT FOR THE SERVICES DURING THE APPLICABLE PERIOD, IF ANY, OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

 

17. Indemnification

To the extent permitted by law, you will indemnify and hold harmless Pivt and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from your User Content, your misuse of the Services, or your violation of these Terms, applicable law, or another person's rights.

 

18. Governing Law and Dispute Terms

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any claim or dispute arising from or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and you and Pivt consent to the personal jurisdiction of those courts. Either party may seek injunctive relief in any court of competent jurisdiction. Nothing in this section limits any right you have under mandatory consumer protection laws of the country where you live.

 

19. Changes to the Services and Terms

Pivt may modify or discontinue features of the Services and may update these Terms from time to time. If changes are material, Pivt will provide notice as appropriate. Your continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.

 

20. General

These Terms and the Privacy Policy form the agreement between you and Pivt concerning your individual use of the Services, except to the extent a separate written agreement expressly applies. If any provision is held unenforceable, the remaining provisions remain in effect. Pivt's failure to enforce a provision is not a waiver. You may not assign these Terms without Pivt's consent; Pivt may assign these Terms in connection with a corporate transaction or as otherwise permitted by law.
